Board members and senior executives in Humana have acquired synthetic share options in Humana from Impilo Care AB
The Board of Directors in Humana AB has today been informed by the company’s principal shareholder, Impilo Care AB, that board members and senior executives in Humana have acquired synthetic share options in Humana issued by Impilo Care AB.
Impilo Care AB has offered all board members elected by the general meeting, except for Fredrik Strömholm, and senior executives in Humana to acquire synthetic share options in Humana issued by Impilo Care AB. According to the notification, 461,000 synthetic share options have been acquired in total, at a price corresponding to the market value of the options. The total market value of the options at the time of the transaction has been calculated to app. SEK 1.4 million.
“Following Humana’s work on strategy and business planning in the Fall of 2019, leading to the new 3-year plan and new financial targets, we are very pleased that all key management people and directors of the board decided to participate in the synthetic option programme confirming their belief in a strong future for Humana”, said Fredrik Strömholm, Impilo CEO and partner, and director of the Humana board.
The synthetic share options are related to the Humana share with a maturity of three years and may be exercised during the period 1 April 2023 to 30 June 2023. The exercise price per option is SEK 77.90. When exercising the option, the option holder will receive a cash payment from Impilo Care AB corresponding to the number of underlying shares each option represents multiplied by the market value of the share reduced by the exercise price. The option holder will not receive any cash payment if the market value is less than the exercise price.
Humana has not been involved in the offer that has been provided by Impilo Care AB to board members and executive management in Humana on its own initiative. The offer will not incur any costs for Humana.
