Changes to the composition of Humana’s Nomination Committee

As a consequence of the ownership changes that have taken place since Humana’s Nomination Committee was appointed in September 2017, the composition of the Nomination Committee has changed. Katarina Hammar representing Nordea Funds Ltd takes a seat on the Nomination Committee, while the representative from Bodenholm Capital AB resigns from the Nomination Committee.

According to the principles for the appointment of the Nomination Committee, adopted by the AGM, the four largest shareholders as of August 31, who wish to participate in the Nomination Committee has the right to appoint one member to the Nomination Committee. If earlier than three months prior to the Annual General Meeting, one of the shareholders who have been appointed members of the Nomination Committee no longer are among the four largest shareholders, the member appointed by these shareholders shall resign and the shareholders who at that time are among the four largest shareholders may appoint a new representative. 

In accordance with the above, Oskar Andersson, representing Bodenholm Capital AB has resigned from the Nomination Committee. Katarina Hammar representing Nordea Funds Ltd replaces him.

The members of the Nomination Committee are:

  • Lloyd Perry, representing Argan Capital (Air Syndication SCA), Chairman of the Nomination Committee
  • Alexander Kopp, representing Incentive AS
  • Katarina Hammar, representing Nordea Funds Ltd
  • Sven-Erik Zachrisson, representing Zirkona AB
  • Per Båtelson, Humana’s Chairman of the Board

The Annual General Meeting will be held on Wednesday 16 May 2018 in Stockholm.

Shareholders who wish to present proposals to the Nomination Committee for the 2018 Annual General Meeting can submit them by post to: Humana AB, AGM, att: Cecilia Lannebo, Warfvinges väg 39, 112 51 Stockholm, or through email: arsstamma@humana.se.

In order for the Nomination Committee to be able to consider submitted proposals in a constructive manner, these should be submitted by 15 January 2018, at the latest.
